Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the FLUXO website (the "Site") and any consulting services, audits, tools, or engagements provided by FLUXO ("we," "us," "our," "FLUXO"). By using the Site, submitting a form, booking a strategy call, or engaging FLUXO for services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.
FLUXO is a founder-led AI SEO consultancy providing Local SEO, Answer Engine Optimization (AEO), Generative Engine Optimization (GEO), and Traditional SEO services to service-based businesses.
Who These Terms Apply To
These Terms apply to all visitors to the Site, users of our free tools (such as the AI SEO Audit and ROI Calculator), and clients who engage FLUXO under a separate paid Statement of Work, proposal, or service agreement ("Engagement"). Where a signed Engagement document exists between FLUXO and a client, and its terms conflict with this general Terms of Service page, the signed Engagement document takes precedence for that specific relationship.
Description of Services
FLUXO provides SEO and AI-search-visibility consulting services, which may include but are not limited to:
- Technical SEO audits and implementation guidance.
- Local SEO (Google Business Profile optimization, citations, map-pack strategy).
- Answer Engine Optimization (AEO) — schema, structured content, and entity optimization aimed at improving visibility in AI answer platforms (e.g., ChatGPT, Perplexity, Claude, Copilot).
- Generative Engine Optimization (GEO) — optimization for AI Overviews, Gemini, and generative search surfaces.
- Content strategy, editorial production, and digital PR support.
- Ongoing reporting, dashboards, and strategic reviews.
Important limitation: SEO, AEO, and GEO involve third-party platforms (Google, OpenAI, Google Gemini, Perplexity, Microsoft, and others) whose algorithms, ranking factors, and AI-citation behavior are outside FLUXO's control and subject to change without notice. FLUXO does not guarantee specific rankings, traffic volumes, AI citation frequency, lead volume, or revenue outcomes. Our services are performance-oriented, but organic search and AI-visibility results are inherently variable and influenced by factors beyond any consultant's control, including competitor activity, platform algorithm updates, and the client's own website, business practices, and market conditions.
Engagement Process & Scope
Before any paid engagement begins, FLUXO conducts a discovery process to understand the prospective client's business, goals, and current SEO/AI-visibility position. Following discovery, FLUXO provides a proposed scope of work and pricing specific to that business — pricing is quoted individually after discovery and is not a fixed, published rate, since scope varies by business size, competitive landscape, and service combination selected (Traditional SEO, Local SEO, AEO, GEO, or a combination).
Any Engagement will define, at minimum:
- Services included in scope.
- Deliverables and reporting cadence.
- Engagement duration or ongoing/monthly structure.
- Fees and payment schedule (see Section 5).
Work outside the agreed scope may require a separate change order or additional fee, to be agreed upon in writing (including via email) before work begins.
Payment Terms
ImportantPricing model: FLUXO uses a variable, discovery-based pricing model. Onboarding fees and ongoing service fees are quoted individually to each prospective client following a discovery call, based on the scope of services selected and the complexity of the engagement. No fixed public pricing is guaranteed until a formal quote is issued.
Invoicing: Fees will be invoiced according to the schedule agreed in the client's specific proposal or Engagement document (e.g., upfront onboarding fee, followed by recurring monthly fees for ongoing services).
Payment due date: Unless otherwise stated in the Engagement document, invoices are due within 7 days of issue.
Late payment: FLUXO reserves the right to pause active work on an engagement if payment is more than 7 days overdue, until payment is received.
Refunds: Onboarding and setup fees are generally non-refundable once discovery and strategy work has commenced, as they compensate for time and analysis already delivered. Refund eligibility for ongoing monthly services, if any, will be specified in the client's individual Engagement document.
Currency and taxes: Fees are quoted in the currency specified in the client's proposal (typically USD, GBP, CAD, or AUD depending on client location) and are exclusive of any applicable taxes, which remain the client's responsibility unless otherwise stated.
Client Responsibilities
Client ResponsibilityTo deliver effective SEO, AEO, and GEO services, FLUXO typically requires reasonable and timely cooperation from the client, including but not limited to:
- Providing access to relevant platforms (e.g., Google Search Console, Google Business Profile, CMS/website admin access, analytics).
- Timely review and approval of content, technical changes, or strategic recommendations.
- Providing accurate information about the business, services, and target market.
Delays in providing access or approvals may impact timelines and results, and FLUXO is not responsible for delays caused by client non-responsiveness.
Intellectual Property
OwnershipContent, reports, dashboards, strategy documents, and deliverables created specifically for a client as part of a paid Engagement become the property of the client upon full payment, unless otherwise specified in the Engagement document.
FLUXO retains ownership of its underlying methodologies, frameworks, templates, tools, and any pre-existing intellectual property used to deliver services — clients receive a license to use deliverables for their business but do not acquire rights to FLUXO's underlying systems or processes.
The FLUXO name, logo, website content, and the "AI Search Readiness" framework and associated benchmark content are the property of FLUXO and may not be reproduced without permission.
Confidentiality
PrivacyFLUXO treats client business information, website data, and strategy discussions as confidential and will not disclose them to third parties without the client's consent, except as required by law. Clients are encouraged to sign a mutual non-disclosure agreement (NDA) prior to discovery calls if additional confidentiality assurance is needed — available upon request.
Limitation of Liability
Legal NoticeTo the fullest extent permitted by applicable law:
- FLUXO's services are provided on a professional-effort basis. We do not guarantee specific search rankings, AI citation outcomes, traffic levels, lead volume, or revenue results, as these depend on factors outside our control (see Section 3).
- FLUXO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising from or related to the use of our Site, tools, or services.
- FLUXO's total liability for any claim arising from a paid Engagement shall not exceed the total fees paid by the client to FLUXO for the specific service(s) giving rise to the claim within the 3 months preceding the claim.
- Nothing in these Terms limits liability for matters that cannot be excluded or limited under applicable law (e.g., liability for fraud or gross negligence, where applicable in the client's jurisdiction).
Free Tools & Audits
Free tools offered on the Site (e.g., the AI SEO Audit, ROI Calculator) are provided for informational and educational purposes only. Results are automated estimates based on the inputs provided and publicly available data at the time of the audit, and do not constitute a comprehensive professional audit, guarantee of accuracy, or formal consulting recommendation. For a comprehensive assessment, please book a strategy call.
Termination
Either party may terminate an ongoing Engagement in accordance with the notice period specified in that Engagement's specific document (commonly 30 days' written notice for monthly retainer-style services, unless otherwise agreed). Fees for work completed or in progress up to the termination date remain payable. FLUXO reserves the right to terminate or refuse an Engagement, including during the discovery phase, if it determines a prospective client's needs are not a good fit for its services.
Third-Party Platforms
FLUXO's services may involve optimizing for or reporting on third-party platforms (Google, ChatGPT/OpenAI, Google Gemini, Perplexity, Microsoft Copilot, and others). FLUXO is not affiliated with, endorsed by, or officially partnered with these platforms unless explicitly stated, and has no control over their policies, algorithms, or availability.
Governing Law
The governing law and jurisdiction applicable to these Terms and any Engagement will be specified in the client's individual Engagement document, or otherwise finalized once FLUXO's legal business structure is completed.
Note: Governing jurisdiction will be finalized once FLUXO's legal business structure is completed.
Changes to These Terms
FLUXO may update these Terms from time to time to reflect changes in our services or legal requirements. Continued use of the Site or an active Engagement after changes are posted constitutes acceptance of the revised Terms. Material changes affecting active client Engagements will be communicated directly.
